释义	有下列情形之一的，为公开发行：（一）向不特定对象发行证券；（二）向累计超过二百人的特定对象发行证券；（三）法律、行政法规规定的其他发行行为。非公开发行证券，不得采用广告、公开劝诱和变相公开方式。公司公开发行新股，应当符合下列条件：（一）具备健全且运行良好的组织机构；（二）具有持续盈利能力，财务状况良好；（三）最近三年财务会计文件无虚假记载，无其他重大违法行为；（四）经国务院批准的国务院证券监督管理机构规定的其他条件。该内容由麻侦贤律师和律说律答共创回答
