释义	公司设立“门槛”降低。新公司法区别于旧公司法的地方主要是指： 1、涉及注册资本的限制予以放宽，不再适用实缴制，新公司法适用认缴登记制； 2、股东出资除了货币出资外，还可用用实物、知识产权等可以作价评估的非货币出资； 3、删除了旧公司法登记要提交验资报告的规定。法律依据：《中华人民共和国公司法》第二十六条有限责任公司的注册资本为在公司登记机关登记的全体股东认缴的出资额。法律、行政法规以及国务院决定对有限责任公司注册资本实缴、注册资本最低限额另有规定的，从其规定。
