释义	法律分析：借贷与投资是两种不同的法律关系，会产生不同的法律后果，如果投资人之间协商一致，可以将投资款项变更为借款。　在公司经营正常的情况下，股东借款转为实收资本是可以的，前提是公司登记的注册资本尚有未缴纳的部分，否则就要按增资处理。但是如果公司存在资不抵债的情形，股东纯粹为了逃避注册资本的缴纳法律义务将借款转为实收资本会存在法律风险。法律依据：《中华人民共和国民法典》第六百六十七条借款合同是借款人向贷款人借款，到期返还借款并支付利息的合同。
