释义	法律分析：公司的股东资本金投入大于注册资本，可以作两种处理，一是在没有任何约定的情况下，超出部分作为股东对公司的债权，二是股东溢价出资，超出部分作为资本公积。若是前者可参与破产分配，但肯定不可能全部追回了，只能与其他债权人按比例分配破产财产。若是后者，作为出资，则不能追回。法律依据：《中华人民共和国公司法》第二十六条有限责任公司的注册资本为在公司登记机关登记的全体股东认缴的出资额。法律、行政法规以及国务院决定对有限责任公司注册资本实缴、注册资本最低限额另有规定的，从其规定。
