释义	法律分析： 1、定金的数额原则上是由当事人约定的，但《民法典》对其最高限额又作了限定，即能超过主合同标的额的百分之二十，司法解释规定，当事人约定的定金数额超过主合同标的额的百分之二十的，超过的部分，人民法院不予支持。意图显然是限制给付数额过大的定金，将定金的惩罚限定在一定的限度内。法律依据：《中华人民共和国民法典》第五百八十六条当事人可以约定一方向对方给付定金作为债权的担保。定金合同自实际交付定金时成立。
