释义	法律分析：有下列情形之一的，公司应当修改章程：（一）《公司法》或有关法律、行政法规修改后，章程规定的事项与修改后的法律、行政法规的规定相抵触；（二）公司的情况发生变化，与章程记载的事项不一致；（三）股东大会决定修改章程。法律依据：《中华人民共和国民法典》第七十九条设立营利法人应当依法制定法人章程。第八十条营利法人应当设权力机构。权力机构行使修改法人章程，选举或者更换执行机构、监督机构成员，以及法人章程规定的其他职权。
