释义	法律分析：分公司能作担保人，但是仅仅是在面对善意第三人的时候。其余情况下，若是没有经过总公司的董事会或者是股东大会决议，则不产生效力，担保合同不生效。法律依据：《最高人民法院关于适用华人民共和国民法典＞有关担保制度的解释》第十一条公司的分支机构未经公司股东（大）会或者董事会决议以自己的名义对外提供担保，相对人请求公司或者其分支机构承担担保责任的，人民法院不予支持，但是相对人不知道且不应当知道分支机构对外提供担保未经公司决议程序的除外。
