释义	法律分析：当债务人出现明显资不抵债情况的时候，债务人的债务清偿能力明显下降，债务人就可以向法院申请破产清算。如果企业法人在解散前还没有清算，或者还没有清算完毕，资产不足以清偿债务的。那依法承担清算责任的人可以向人民法院申请破产清算。法律依据：《中华人民共和国企业破产法》第一百一十条享有本法第一百零九条规定权利的债权人行使优先受偿权利未能完全受偿的，其未受偿的债权作为普通债权；放弃优先受偿权利的，其债权作为普通债权。
