释义	公司有诉讼的，一般不可以注销。公司要经依法清算后，才能向公司登记机关申请办理注销登记。所以在公司进行诉讼时，权利义务关系尚未明确，公司的清算组也不能准确的确定公司的资产和债权债务情况，暂时不能进行注销。法律依据：《中华人民共和国公司法》第一百八十八条公司清算结束后，清算组应当制作清算报告，报股东会、股东大会或者人民法院确认，并报送公司登记机关，申请注销公司登记，公告公司终止。
