债务和解的优缺点：
1、避免了履行正式手续所需发生的大量费用，所需要的律师、会计师的人数也比履行正式手续要少得多，使重整费用降至最低点。
2、可以减少重整所需的时间，使企业在较短的时间内重新进入正常经营的状态。
1、当债权人人数很多时，可能难于达成一致。
2、没有法院的正式参与可能影响到协议的严肃性,协议的执行缺乏法律保障。
法律依据：
《中华人民共和国企业破产法》 第二条 企业法人不能清偿到期债务,并且资产不足以清偿全部债务或者明显缺乏清偿能力的,依照本法规定清理债务。
