释义	法律分析：1、由公司董事会作出修改公司章程的决议，并提出章程修改草案。2、股东会对章程修改条款进行表决。有限责任公司修改公司章程，须经代表三分之二以上表决权的股东通过。股份有限公司修改章程，须经出席股东大会的股东所持表决权的三分之二以上通过。法律依据：《中华人民共和国公司法》第七十三条依照本法第七十一条、第七十二条转让股权后，公司应当注销原股东的出资证明书，向新股东签发出资证明书，并相应修改公司章程和股东名册中有关股东及其出资额的记载。对公司章程的该项修改不需再由股东会表决。
