释义	法律分析：股份有限公司不一定是上市公司，但是上市公司必定是股份有限公司。股份公司是指公司资本为股份所组成的公司，股东以其认购的股份为限对公司承担责任的企业法人。设立股份有限公司，应当有2人以上200以下为发起人。法律依据：《中华人民共和国公司法》第七十八条设立股份有限公司，应当有二人以上二百人以下为发起人，其中须有半数以上的发起人在中国境内有住所。
