释义	法律分析：1、当事人双方互负债务互享债权。2、双方债务均已到期，抵销具有相互清偿的功能，因而当事人双方所负的债务均须到清偿期。3、债务的标的物种类相同。法律依据：《中华人民共和国民法典》第五百四十九条有下列情形之一的，债务人可以向受让人主张抵销：（一）债务人接到债权转让通知时，债务人对让与人享有债权，且债务人的债权先于转让的债权到期或者同时到期；（二）债务人的债权与转让的债权是基于同一合同产生。第五百五十条因债权转让增加的履行费用，由让与人负担。
