释义	法律分析: 股东与债权人之间没有法律关系，只有当股东抽逃出资、滥用公司法人人格时，才对债权人负责任。企业向债权人借入资金后，两者形成委托代理关系。股东在实施其财富最大化目标时会一定程度上损害债权人的利益。因此债权人以限定性条款来避免利益受侵害。一旦利益受侵害，或断绝与该企业的业务来往，或以较高利率补偿可能损失。法律依据: 《中华人民共和国民法典》第五十九条法人的民事权利能力和民事行为能力,从法人成立时产生,到法人终止时消灭。第六十条法人以其全部财产独立承担民事责任。
