释义	法律分析：分公司是不可能有独立法人地位的,但可以独立核算财务,所有收支单独记帐,单独在当地报税,总公司期末汇总分公司报表. 总公司收取分公司的管理费:由公司董事会会议或公司章程来确定。法律依据：《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
