释义	法律分析：公司法人变更的结果法人消灭。在新的合并中，原法人被平均消灭；在吸收合并中，被吞并的法人被消灭。在新设式分立中，原法人被消灭；存续分立只是原法人财产或组织的变更。承担债权债务。合并消灭的法人的债权债务由合并后的法人承担。法人分立时，原法人债权债务由分立前签订的合同确定的分担份额由分立后的法人承担。法律依据：《中华人民共和国公司法》第十三条公司法定代表人依照公司章程的规定，由董事长、执行董事或者经理担任，并依法登记。公司法定代表人变更，应当办理变更登记。
