释义	法律分析：公司处置重大资产的行为，是指公司处分相对于公司资产总额而言占相当比例，且对公司主要经营活动构成重大影响的资产行为。重大资产处置行为与营业转让联系极为密切，但并不完全等同于营业转让。法律依据：《中华人民共和国公司法》第一百零五条本法和公司章程规定公司转让、受让重大资产必须经股东大会作出决议。这里也未对重大资产作出解释，只是强调本法有规定的或者公司章程自己定义的，便构成重大资产转让。
