释义	1、母公司破产可能导致子公司解散清算。因为母公司占有子公司的多数甚至全部股份，母公司可通过召开子公司的股东会或者股东大会，依照法定程序解散子公司，对子公司的财产和债权债务关系进行清理、处分和分配，以了结其债权债务关系，消灭子公司法人资格，收回子公司的剩余财产用以破产清算。二母公司的破产并不必然导致子公司归于消灭。2、母公司可将其对子公司拥有的股份在评估基础上进行转让，转让所得纳入破产财产，但子公司的法人资格仍然保留，子公司的股权结构发生变动。法律依据《中华人民共和国公司法》第十四条
