问题	签订补充协议的依据？
释义	当出现合同没有约定或者约定不明的事项时，当事人协商一致后可以签订补充协议。如果补充协议条款与原合同不一致或发生冲突时，应当以补充协议为准，但原合同明示不得变更的条款，补充协议中对该条款发生的变更则不发生法律效力。法律依据:《中华人民共和国民法典》第五百一十条合同生效后，当事人就质量、价款或者报酬、履行地点等内容没有约定或者约定不明确的，可以协议补充;不能达成补充协议的，按照合同相关条款或者交易习惯确定。
