释义	法律分析: 主要是通过加强董事的义务来限制董事的权利，以达到消弱董事会权利的目的，从而来实现平衡董事会与股东会二者之间的关系。建立起完善的董事忠实义务。董事的忠实义务包含两项基本内容;一是对公司的诚实和善意的义务，二是不使个人义务与个人私利发生冲突。法律依据: 《中华人民共和国公司法》第一百四十七条董事、监事、高级管理人员应当遵守法律、行政法规和公司章程，对公司负有忠实义务和勤勉义务。董事、监事、高级管理人员不得利用职权收受贿赂或者其他非法收入，不得侵占公司的财产。
