释义	法律分析：公司分立的两种形式是：标准式公司分立和衍生式公司分立。标准式公司分立：指母公司将其在某子公司中所拥有的股份，按母公司股东在母公司中的持股比例分配给现有母公司的股东，从而在法律上和组织上将子公司的经营从母公司的经营中分离出去的行为。衍生式公司分立分为换股式公司分立、解散式公司分立。法律依据：《中华人民共和国公司法》第一百七十五条公司分立，其财产作相应的分割。公司分立，应当编制资产负债表及财产清单。公司应当自作出分立决议之日起十日内通知债权人，并于三十日内在报纸上公告。
