释义	法律分析：小公司，可以申请破产。但小公司必须处于资不抵债、不能清偿到期债务、明显缺乏清偿能力或有明显丧失清偿能力可能的情形的，才可以向法院申请破产。管辖的法院是公司住所地的法院。法律依据：《中华人民共和国企业破产法》第二条企业法人不能清偿到期债务，并且资产不足以清偿全部债务或者明显缺乏清偿能力的，依照本法规定清理债务。企业法人有前款规定情形，或者有明显丧失清偿能力可能的，可以依照本法规定进行重整。第三条破产案件由债务人住所地人民法院管辖。
