释义	法律分析：不是所有公司都有股东大会，一人有限公司可以不设立股东会。股东大会，是指由全体股东组成的，决定公司经营管理的重大事项的机构。股东大会是公司最高权力机构，其它机构都由它产生并对它负责。股东大会职权与有限责任公司股东会职权相同。法律依据：《中华人民共和国公司法》第六十一条一人有限责任公司不设股东会。股东作出本法第三十七条第一款所列决定时，应当采用书面形式，并由股东签名后置备于公司。
