释义	法律分析：有一分为二，一分为多，与公司合并操作上正好相反。而分立出来的子公司是完全独立的的法人，操作上可以是新增分立，也可以是派生分立，所涉及到的税务筹划就是针对股权分置问题而言。涉及到的利益流出是对母公司而言的，新分立出来子公司后原母公司可保存也可注销，根据实际操作及股东会决议需要确定。法律依据：《中华人民共和国公司法》第一百七十五条公司分立，其财产作相应的分割。公司分立，应当编制资产负债表及财产清单。公司应当自作出分立决议之日起十日内通知债权人，并于三十日内在报纸上公告。
