公司申请注销登记，应向登记机关提交下列文件：1、公司清算组织负责人签署的注销登记申请书；2、公司法定代表人签署的《公司注销登记申请书》；3、法院破产裁定、行政机关责令关闭的文件或公司作出的决议或者决定；4、股东会或者有关机关确认的清算报告；5、税务部门出具的完税证明；6、银行出具的帐户注销证明；7、企业法人营业执照的正、副本；8、法律、行政法规规定应当提交的其他文件
法律依据：
《中华人民共和国民法典》
第六十条 法人以其全部财产独立承担民事责任。
第六十八条 有下列原因之一并依法完成清算、注销登记的，法人终止:
(一)法人解散;
(二)法人被宣告破产;
(三)法律规定的其他原因。法人终止，法律、行政法规规定须经有关机关批准的，依照其规定。
第七十条 法人解散的，除合并或者分立的情形外，清算义务人应当及时组成清算组进行清算。法人的董事、理事等执行机构或者决策机构的成员为清算义务人。法律、行政法规另有规定的，依照其规定。清算义务人未及时履行清算义务，造成损害的，应当承担民事责任;主管机关或者利害关系人可以申请人民法院指定有关人员组成清算组进行清算。
