释义	法律分析：1、投资主体不同。一人有限责任公司的投资主体可以是自然人，也可以是法人；个人独资企业的投资主体只能是自然人。2、法律形式不同。一人有限责任公司属于法定的民事主体，具有法人资格；而个人独资企业属于非法人组织，不具有法人资格。一人有限责任公司的名称应该带有“有限责任公司”字样，而个人独资企业的名称则不能称公司。法律依据：《中华人民共和国公司法》第七十八条设立股份有限公司，应当有二人以上二百人以下为发起人，其中须有半数以上的发起人在中国境内有住所。
