释义	法律分析：挂名股东有连带责任。无论是挂名股东背后的实际投资者，还是公司成立时的其他股东；公司成立时，所有股东均承担连带责任，挂名股东此时应对任何股东未缴足出资额的部分承担连带责任。即使挂名股东与实际出资人签订协议，如有债权纠纷，实际出资人应承担责任，该协议只能约束双方，不能作为挂名股东不承担责任的依据。法律依据：《中华人民共和国公司法》第二十一条公司的控股股东、实际控制人、董事、监事、高级管理人员不得利用其关联关系损害公司利益。违反前款规定，给公司造成损失的，应当承担赔偿责任。
