释义	设立外资企业，必须有利于中国国民经济的发展，能够取得显著的经济效益。国家鼓励外资企业采用先进技术和设备，从事新产品开发，实现产品升级换代，节约能源和原材料，并鼓励举办产品出口的外资企业。禁止或者限制设立外资企业的行业，按照国家指导外商投资方向的规定及外商投资产业指导目录执行。申请设立外资企业，有下列情况之一的，不予批准：有损中国主权或者社会公共利益的；危及中国国家安全的；违反中国法律、法规的；不符合中国国民经济发展要求的；可能造成环境污染的。
