释义	法律分析：合法债权是作为质押标的的债权应当合法有效且无瑕疵。首先，以不存在的、无效的、或者已经消灭的债权设定质押的，质押无效;其次，存在法律瑕疵的债权，比如可撤销、可变更合同的债权不宜设立质押;最后，诉讼时效已经届满的债权因次债务人已取得对债务人的时效抗辩权，质权人主张第三债务人履行债务的请求得不到法律的保障，担保的目的无法实现，因此，也不宜设定质押。法律依据：《中华人民共和国民法典》第五百四十八条??债务人接到债权转让通知后，债务人对让与人的抗辩，可以向受让人主张。
