转赠股与送股的区别如下：
1、性质不同。转增股是上市公司将资本公积金以股本的方式赠送给股东。送股是上市公司分红的一种形式；
2、方式不同。转增股是用公司的资本公积金按权益折成股份转增，送股是用公司的未分配利润以股票的形式送给股东的股利；
3、特点不同。转增股来自于资本公积，可以不受公司本年度可分配利润的多少及时间的限制。红股来自公司的年度税后利润，只有在公司有盈余的情况下，才能向股东送红股。
股票分红送转需要什么条件
1、目标股的估值要相对合理，并且最好是相对偏低；
2、估值最好不要超过40倍市盈率和5倍市净率的动态估值，是非常重要的高送转股票必备条件；
3、只要每股公积金和每股未分配利润之和超过1元，上市公司就具备了10送转10的能力；
4、召开股东大会审议，通过审议才可以办理分红，同时每股收益要达到正数。
法律依据：《中华人民共和国公司法》第二十七条
股东可以用货币出资，也可以用实物、知识产权、土地使用权等可以用货币估价并可以依法转让的非货币财产作价出资；但是，法律、行政法规规定不得作为出资的财产除外。
对作为出资的非货币财产应当评估作价，核实财产，不得高估或者低估作价。法律、行政法规对评估作价有规定的，从其规定。
