释义	公司合并应当向债权人进行通知和公告。债权人自接到通知书之日起三十日内，未接到通知书的自公告之日起四十五日内，可以要求公司清偿债务或者提供相应的担保。如果公司债权人在法定的时间内不能提出异议，则可视为默认。【法律依据】《民法典》第六十七条，法人合并的，其权利和义务由合并后的法人享有和承担。法人分立的，其权利和义务由分立后的法人享有连带债权，承担连带债务，但是债权人和债务人另有约定的除外。
