释义	公司章程不备案没有法律效力的。如果股东之间没有明确约定公司章程一定要在工商备案才有法律效力的，在股东之间以时间在后的一份为准；对外以在工商备案的为准。公司章程修改未涉及登记事项的，公司应当将修改后的公司章程或者公司章程修正案送原公司登记机关备案。法律依据：《中华人民共和国公司法》第十二条公司的经营范围由公司章程规定，并依法登记。公司可以修改公司章程，改变经营范围，但是应当办理变更登记。公司的经营范围中属于法律、行政法规规定须经批准的项目，应当依法经过批准。
