分公司和挂靠公司的分别
释义
二者的性质不同。分公司隶属于总公司，属于公司的紧密层，分公司没有独立核算的资格，一切服从总公司。挂靠的公司属于分散层，自己独立核算，只是利用总公司的资质参加投标。
法律依据：《中华人民共和国公司法》第十四条 公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
挂靠公司是指依附于一个具有独立法人资格的单位，一般理解为单位或者个人利用其他单位的名义或者资质，以挂靠方的名义从事生产经营活动，并向挂靠方缴纳一定费用的行为。
