释义	法律分析：只要签订合同是双方当事人真实的意思表示，并且合同内容合法，则该合同自双方当事人签字、盖章、按手印或者一方履行合同主要义务，被对方所接受时生效。公司注销，并不影响有效合同的效力。法律依据：《中华人民共和国民法典》第一百四十六条行为人与相对人以虚假的意思表示实施的民事法律行为无效。以虚假的意思表示隐藏的民事法律行为的效力，依照有关法律规定处理。第一百四十七条基于重大误解实施的民事法律行为，行为人有权请求人民法院或者仲裁机构予以撤销。
