释义	1、根据《证券法》第20条第1款的规定，上市公司发行新股，应当符合《公司法》有关发行新股的条件，可以向社会公开募集，也可以向原股东配售。2、《公司法》第137条规定，公司发行新股，必须具备下列条件：前一次发行的股份已募足，并间隔一年以上；公司在最近三年内连续盈利，并可向股东支付股利；公司在最近三年内财务会计文件无虚假记载；公司预期利润可达同期银行存款利率。其中，公司以当年利润分派新股，不受“公司在最近三年内连续盈利，并可向股东支付股利”条件的限制。
