释义	依据《公司法》第一百七十四条、《合同法》第九十条规定，企业吸收合并后，由存续的企业承继被吸收企业的债权债务。至于合同是否改签或换签，由存续的企业与原合同相对方协商确定，但权利义务关系并不因此改变，也就是说，由存续的企业与原合同相对方应当继续履行合同。《中华人民共和国公司法》第一百七十四条公司合并时，合并各方的债权债务，应当由合并后存续的公司或者新设的公司承继。
