释义	法律分析：股权转让时应当披露公司对外债务，新股东可以要求原股东承担债务责任。依法履行出资义务为股东的法定义务，在公司股权转让时不能转让；实践中某些出资不实或者抽逃出资的股东，为了达到不承担法定的义务、逃避债务的目的，往往会将股权转让给一个没有偿付能力的主体，并在转让协议中约定原股东的所有债权债务给让给新股东。法律依据：《中华人民共和国公司法》第七十一条第一款有限责任公司的股东之间可以互相转让其全部或部分股权。
