释义	公司清算不是注销。公司清算与公司注销是完全不一样的两个概念。清算是指公司解散时，依照法定程序，对公司的财产和债权债务关系进行清理、处分和分。公司注销是指当一个公司宣告破产，被其它公司收购、规定的营业期限届满不续、或公司内部解散等情形时，公司需要到登记机关申请注销，终止公司法人资格的过程。《中华人民共和国企业破产法》第一百二十一条管理人应当自破产程序终结之日起十日内，持人民法院终结破产程序的裁定，向破产人的原登记机关办理注销登记。
