企业破产资不抵债要承担哪些责任
释义
依法宣告破产的公司，由法院依照有关法律，组织股东、有关机关及有关专业人员成立清算组，对公司进行破产清算，并按照法定顺序承担清偿责任。公司破产法人不用承担所有债务，但规定其在一定期限内不得担任其他企业的法定代表人、董事、监事、高管。
法律依据
《中华人民共和国公司法》第三条，公司是企业法人，有独立的法人财产，享有法人财产权。公司以其全部财产对公司的债务承担责任。
有限责任公司的股东以其认缴的出资额为限对公司承担责任;股份有限公司的股东以其认购的股份为限对公司承担责任。
