法律分析：股东未出资的，需承担债务。股东需要在未出资的本息范围内，向公司的债权人承担债务。债权人也有权向法院提出请求，请求股东在上述范围内对公司的债务承担连带责任。股东是指对股份公司债务负有限或无限责任，并凭持有股票享受股息和红利的个人或单位。向股份公司出资认购股票的股东，既拥有一定权利，也承担一定义务。股东的主要权利是：参加股东会议对公司重大事项具有表决权；公司董事、监事的选举权；分配公司盈利和享受股息权；发给股票请求权；股票过户请求权；无记名股票改为记名股票请求权；公司经营失败宣告歇业和破产时的剩余财产处理权。股东权利的大小，取决于股东所掌握的股票的种类和数量。
法律依据：《中华人民共和国公司法》
第二十八条 股东应当按期足额缴纳公司章程中规定的各自所认缴的出资额。股东以货币出资的，应当将货币出资足额存入有限责任公司在银行开设的账户;以非货币财产出资的，应当依法办理其财产权的转移手续。
股东不按照前款规定缴纳出资的，除应当向公司足额缴纳外，还应当向已按期足额缴纳出资的股东承担违约责任。
第七十八条 设立股份有限公司，应当有二人以上二百人以下为发起人，其中须有半数以上的发起人在中国境内有住所。
第七十九条 股份有限公司发起人承担公司筹办事务。
发起人应当签订发起人协议，明确各自在公司设立过程中的权利和义务。
