释义	在与对方签订合同时，不明知对方公章为伪造的，对方构成表见代理，其法律后果由对方公司承担，合同自签订时自始有效。如果在签订合同前明知对方公章为伪造的，而依然与对方签订合同，则构成欺诈，合同违法无效。行为人因该行为取得的财产，应当予以返还；不能返还或者没有必要返还的，应当折价补偿。【法律依据】《民法典》第一百七十二条，行为人没有代理权、超越代理权或者代理权终止后，仍然实施代理行为，相对人有理由相信行为人有代理权的，代理行为有效。
