释义	公司发起人、股东违反《公司法》的规定未交付货币、实物或者未转移财产权，虚假出资，数额巨大、后果严重或者其他严重情节的，构成虚假出资罪，依《刑法》的规定，处五年以下有期徒刑或者拘役，并处或者单处虚假出资金额或者抽逃出资金额2以上10以下罚金。单位犯本罪的，对单位头版罚金，并对其直接负责的主管人员和其他直接责任人员，处五年以下有期徒刑或者拘役。
