释义	法律分析：公司注销,其民事主体资格即消灭,正常情况下,本不存在也无法追究其民事责任。但如果存在其他当事人如股东、董事、监事、经理等应对该公司债务承担责任的情形,则可以以其他当事人为被告,直接对其追究相应的民事责任。法律依据：《最高人民法院关于适用若干问题的规定(二)》第二十二条公司财产不足以清偿债务时，债权人主张未缴出资股东，以及公司设立时的其他股东或者发起人在未缴出资范围内对公司债务承担连带清偿责任的，人民法院应依法予以支持。
