释义	法律分析: 分公司是可以单独作为被告的。只以分公司为被告时，虽然最终民事责任由总公司承担，但总公司是案外第三人，人民法院不能裁定保全总公司的其他财产，也不能判决总公司承担民事责任。法律依据: 《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
