释义	根据法律规定，公司工商登记事项发生变更的(包括变更法定代表人)，原公司的债权债务应该由变更后的公司全部承担，不需要另行说明。如果确实需要出具相关情况说明的，也只要说明变更前公司的债权债务由变更后的单位承担其债权债务。法律依据《民法典》第六十七条，法人合并的，其权利和义务由合并后的法人享有和承担。法人分立的，其权利和义务由分立后的法人享有连带债权，承担连带债务，但是债权人和债务人另有约定的除外。
