释义	股东会决议的要求：（1）有限责任公司表决,并没有规定必须1/2通过有效。事实上，股东是可以自由约定的。（2）股东会的议事方式和表决程序，除法律有规定的以外，其它由公司章程规定。股东会对公司增加或者减少注册资本、分立、合并、解散或者变更公司形式作出决议，必须经代表三分之二以上表决权的股东通过。（3）此外，股东会决议生效不能有股东会决议无效的情形。《公司法》第三十六条规定，有限责任公司股东会由全体股东组成。股东会是公司的权力机构，依照本法行使职权。
