具有营业执照的分公司在合同上盖章有效的。分公司虽然没有独立的财产和法人资格，但只要分公司经过工商部门的登记后，领取了营业执照，分公司可以作为民事诉讼法上的其他组织成为民事诉讼当事人。
法律依据
《公司法》第十四条，公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
