什么是指公司的吸收合并
释义
公司吸收合并，是指两个或两个以上的公司合并后，其中一个公司吸收其他公司而继续存在，而剩余公司主体资格同时消灭的公司合并。合并方通过企业合并取得被合并方的全部净资产，合并后注销被合并方的法人资格，被合并方(或被购买方)原持有的资产、负债，在合并后成为合并方的资产、负债。《公司法》第一百七十二条：公司合并可以采取吸收合并或者新设合并。一个公司吸收其他公司为吸收合并，被吸收的公司解散。两个以上公司合并设立一个新的公司为新设合并，合并各方解散。
