释义	法律分析：个人独资企业是不能变更成一人有限公司的，只有注销个人独资企业，重新注册一人有限公司。【法律依据】：《中华人民共和国个人独资企业登记管理办法》第四十条个人独资企业成立后，无正当理由超过6个月未开业，或者开业后自行停业连续6个月的，吊销营业执照。第四十一条登记机关对不符合法律规定条件的个人独资企业予以登记，或者对符合法律规定条件的个人独资企业不予登记的，对直接责任人员依法予以行政处分；构成犯罪的，依法追究刑事责任。
