释义	第二条当事人签订的预购书、购房意向书等协议已经具备了拟购房屋的基本状况、价款数额、价款支付方式等合同主要内容的，可以认定为房屋买卖合同，但当事人另有约定的除外。因可归责于当事人一方的原因致使房屋买卖合同未能订立，预约协议约定有定金条款的，应当适用定金罚则；没有约定定金条款，或者定金处罚数额不足以弥补守约方实际损失的，违约方应当赔偿守约方因此所受到的信赖利益损失。守约方要求赔偿合同履行的可得利益损失的，一般不予支持。
